Introduction 

Zen 2, Ltd., is a to-be-formed Texas limited partnership (the “Partnership”) which will be formed to establish and operate a Zen restaurant at 1303 South Congress in Austin, Texas.  Zen Ltd., is a Texas limited partnership, formed to establish and operate a Zen restaurant at 2900 W. Anderson Lane in Austin, Texas.  Zen Ltd.-Anderson Lane and Zen Ltd. 2-South Congress is the innovation of Adam Weisberg.  Zen is a Japanese food fast concept with Zen Ltd.-Anderson Lane opening in November 1, 1999.  The Partnership along with Weisberg consists of Jeffrey Weinberger and Tim McClure, together they opened Zen Ltd.-Anderson Lane.   Mr. Weinberger consults the company and continues to be one of the top restaurateurs in Austin, he has proven his management experience through Jeffrey’s and Shoreline Grille’s continued success.  Mr. McClure is a partner in GSD&M, which has become one of the top advertising agencies in the country.

            Zen2 Ltd., to be located at 1303 South Congress is offering an aggregate of Six (6) Limited Partner Units.  The purchase price for each Unit is $50,000, payable in cash.  The mimimum subscription per person is one Unit.  The General Partner may, however, in its sole discretion accept fractional Unit subscriptions on an individual basis.  For each Unit, $50,000 in cash shall be delivered upson execution of the Subcription Agreement and related documents. 

Zen-Anderson Lane has trended with consistent positive sales since opening its doors. Revenues are up over 20% compared to 2000-year numbers.  Through the first three-quarters of 2001, Zen-Anderson Lane has earnings over 11% before interest, debt, and taxes.  Through for the first month of 2002 sales increased 40% over January 2001. 

Zen-Anderson Lane has received very positive print and television reviews in Austin Fit Magazine, Texas Monthly, Fox News with Rob Rablon.  Most recently Zen-Anderson Lane was voted “Best of Austin” by The Austin Chronicle in November 2001. 

            The location of Zen-South Congress will be 1305 South Congress, Austin, Tx. 78704. The building will require a complete remodel of the leased space. 

            The Partnership has a great location and a very competitive long-term lease. South Congress has become one the hottest retail and restaurant neighborhoods in Austin.  The recent success’s of Guero’s, Vespaio, local antique outlets, The San Jose Hotel and Joe’s Coffee have led to the redevelopment of South Congress.  These locally owned outlets have generated a synergy of shopping, eating and a gathering place for the neighborhood. The redevelopment of South Congress has garnered much attention through local and regional media over the past few years.    

            Zen-South Congress currently intends to be open seven days a week, serving from 11:00 a.m.-10:00 p.m.  The goal is to create an energetic Japanese fast food restaurant with a limited sushi menu rolled fresh at the front count, enlightened dishes sauté and grilled to order with Japanese beers and sake. We will also offer happy hour pricing on our beers and to increase traffic during the nighttime hours. This will be a major benefit in positioning ourselves in the market.  Management believes that being the only Japanese fast food restaurant in central and south and located in this high profile building will put Zen-South Congress on everyone’s must try list.

 


 

This deal is halfway funded at the present time. There is room for another $125,000.00 to start the ball rolling. We have secured an excellant location on Anderson Lane. The team running and developing the operations of Zen are Adam Weisberg, Jeffery Weinburger, Abe Zimmerman and Brandon Armstrong.

Adam has over eight years of experience in the restaurant industry. Adam has managed Chart House restaurants in different areas of the country. Adam is currently with Sullivans Steakhouse and is involved with the community as a member of the YMBL.

Jeffery has been in the food service industry for 23 years. The restaurant bearing his name, Jeffery's has become one of Austin's landmark restaurants. In 1989, he and his partners opened Shoreline Grill and has since acted as one of the managing partners. Jeffery has owned, operated and consulted many successful restaurant ventures. He is President of WMW Restaurant Management Group, an umbrella organization serving as the management and oversight of Jeffery's and Shoreline Grill.

Abe Zimmerman has been involved several successful businesses in Austin including Russell Korman Company, Shoreline Grill, Mezzaluna, Hang Town Grill, Bookpeople, and the Brazos lofts. Abe also served as CEO and Executive Vice-President of Technology Works, during this period the company grew from $1 million in sales to over $80 million and was cited as one of the fastest growing privately held companies in Inc. Magazine for three successive years.

Brandon Armstrong has been involved in the restaurant industry for over 10 years. He has been apart of Dakota's Grill, T.G.I. Friday's and Sullivan's Steakhouse. Brandon also started Boulder Designs creating storyboards for many national and international companies including Motorola, Fannie Mae, Mrs. Beards Breads, AT&T and Tabasco..

This proven concept will carve its market niche from all segments of the fast food market and the sit down oriental restaurant market. In addition, we will offer services such as phoning or faxing in orders for pick-up to be ready when they arrive. Site selection criteria and marketing will be oriented towards catering primarily to the business community customer profile, with secondary focuses on the residential and student markets.

Zen Ltd. plans to seek $250,000 in investment funding to open the restaurant Zen restaurant within the first half of 1999. Over the first three years, we expect the average revenue to exceed $750,000, and net profits of $120,000. While our financial projections are conservative and are based on prior performance of this concept and years of restaurant experience, there is no assurance that such projections will be met and the proposed projections may change in the private placement memorandum.

It is our intention to offer the limited partners investing in Zen, Ltd. and 90% interest of all net profits until 100% payback of all money invested. The limited partners interest then tiers down to 60%, until the investor receives their full investment back again. Upon 200% of the limited partners money being returned their interest tiers down to 30% and stays at that percentage for the first restaurant. With the success of the first restaurant, Zen Ltd. plans on opening a chain of Zen restaurants. The initial investors in the first restaurant will have a 20% stake of whatever the general partnerships negotiates for all future units, retail details and franchising rights and fees, whether we do 10,50, of 500 units of Zen.
